These general terms and conditions apply to all our commercial activities and agreements. The client expressly waives his own general terms and conditions, even if they were drawn up later. Deviations from these terms and conditions are only valid when agreed upon in advance and in writing by both parties.
2.1 An advance payment of thirty percent (30%) is due upon ordering.
2.2 The remaining balance is payable within seven (7) calendar days of installation, unless a different payment term is specified on the invoice or order.
2.3 In the event of late payment, SOPO BV reserves the right to charge a fixed interest rate of ten percent (10%) on the unpaid balance from the due date and to suspend services without prior warning.
If an invoice remains unpaid sixty (60) days after the due date, SOPO BV may engage a collection agency. All costs associated with this, including any legal fees, will be borne by the client.
If the laws of the client's country impose withholding tax on our invoices, such tax remains entirely the responsibility of the client. SOPO BV cannot be involved in these charges and retains the right to payment of the full invoice amount, excluding the withholding tax.
SOPO BV strives to provide its services as performant and timely as possible, but is only bound by an obligation of effort, not an obligation of result. The client cannot oblige SOPO BV to appear as a third party in the context of any claim for damages by an end customer.
Any complaints relating to the goods or services delivered must, under penalty of cancellation, be reported within eight (8) calendar days after delivery by registered letter to the registered office of SOPO BV.
7.1 Indirect damages: SOPO BV shall not be liable for any form of indirect damages, such as loss of profits, loss of opportunity or any other consequential damages, unless there is intent or gross misconduct.
7.2. Limitations: Any claim for damages against SOPO BV is limited to the amount invoiced for the order in question, except in cases of intent or gross negligence.
In case of force majeure (e.g. natural disaster, pandemic, government measures, strike or other unforeseen circumstances that make the performance of the agreement impossible or unreasonably inconvenient), SOPO BV has the right to temporarily suspend or permanently terminate its obligations, without any obligation to pay compensation.
If goods are delivered, they remain the property of SOPO BV until full payment of the invoice. In the event of non-payment, SOPO BV reserves the right to take back the goods delivered, regardless of in whose possession they are.
All intellectual property rights associated with the goods, services or documentation provided by SOPO BV remain the property of SOPO BV, unless otherwise agreed in writing.
SOPO BV respects applicable data protection legislation (such as the GDPR) and processes personal data only for legitimate purposes and in accordance with its privacy policy. This privacy policy is available on request at info@smartventsystems.be or at the phone number +32 475 411002.
SOPO BV may amend these general terms and conditions at any time. The amended terms and conditions shall be deemed to be accepted by the client if it continues the agreement or places new orders after publication.
All contractual relations with SOPO BV are governed exclusively by Belgian law. In case of disputes, only the courts of the district where SOPO BV has its registered office have jurisdiction.
If any provision of these terms and conditions is declared invalid or unenforceable, this shall not affect the validity and enforceability of the remaining provisions.
These general terms and conditions apply to all commercial relations with SOPO BV. By placing an order or accepting an offer, the client confirms to have taken cognizance of and to agree with its contents.
