1.1 These General Terms and Conditions apply to all offers, quotations and agreements under which SOPO BV, located at Shermanstraat 9, 3945 HAM, registered with the Crossroads Bank for Enterprises under number BE0840725526, provides goods and/or services to its customers.
1.2 Deviations from these General Terms and Conditions are only binding if and insofar as they have been confirmed in writing by SOPO BV.
2.1 All quotations and offers of SOPO BV ( Smart Vent Systems ) are without obligation, unless expressly stated otherwise.
2.2 An agreement is concluded at the moment the customer accepts an offer made by Smart Vent Systems and Smart Vent Systems confirms this acceptance in writing.
3.1 All prices quoted are exclusive of VAT and other government levies, unless otherwise indicated.
3.2 Payment shall be made according to the following principle : 30% deposit, balance after installation within the week unless otherwise agreed in writing.
3.3 In the event of late payment, the customer shall automatically and without notice be liable for interest of 12% per annum on the outstanding amount, as well as liquidated damages of 10% of the outstanding amount, with a minimum of 50 euros.
4.1 Delivery times are indicative and do not constitute a binding commitment. Delays in delivery do not entitle the customer to compensation or cancellation of the order.
4.2 The risk of loss or damage to the products passes to the customer at the time of delivery.
5.1 All goods supplied shall remain the property of Smart Vent Systems until full payment of the principal sum, costs and interest has been made.
6.1 Any complaints regarding the goods or services delivered must be reported in writing within 8 days of delivery. After this period, the customer shall be deemed to have accepted the delivery.
6.2 Return shipments will only be accepted if approved in advance in writing by Smart Vent Systems and the goods are returned undamaged and in their original packaging.
7.1 Smart Vent Systems shall not be liable for indirect damages, including consequential damages, lost profits, missed savings and damages due to business interruption.
7.2 Smart Vent Systems' liability is limited to the invoice value of the agreement, at least to that part of the agreement to which the liability relates.
8.1 Smart Vent Systems is not obliged to fulfill any obligation if it is prevented from doing so as a result of force majeure. Force majeure is defined as any circumstance independent of the will of [Your Company Name] as a result of which fulfillment of obligations to the customer is prevented in whole or in part.
9.1 All agreements to which these general terms and conditions apply are governed by Belgian law.
9.2 All disputes arising from or related to agreements to which these terms and conditions apply shall be submitted exclusively to the competent courts of the judicial district of Hasselt.
10.1 Smart Vent Systems reserves the right to amend or supplement these general terms and conditions.
10.2 The most current version of the General Terms and Conditions can be found on Smart Vent Systems' website and will be sent free of charge upon request.
